Director's Service Address vs Registered Office Address - What are the Differences?

Share

Limited companies must provide an office address and an address for each director, but for many reasons, a private residence address is not the answer.

It’s a common problem for entrepreneurs and small business owners who are registering their company for the first time: which address do they use?

In this article, we’re going to break down the legal requirements for each address, outline the differences between the two, and explain how you can protect your privacy, boost professional credibility and ensure official correspondence is handled effectively with a registered office address service.

Defining the two address types in UK law

There’s often confusion about the difference between a director's service address and a registered office address. First of all, let’s take a look at the key distinction according to UK law.

Director service address

A director's service address (also known as a service address) is the official correspondence address for a company director, as required under the Companies Act.

When a company is incorporated, every director must provide a service address to Companies House where official communications relating to their role as a director can be sent. This address will also be used as the director’s formal point of contact by HMRC and other government bodies to send statutory correspondence.

Although this address needs to be a genuine, physical UK address, it doesn’t have to be the director’s residential address, and many business owners choose to use a separate address specifically to protect their privacy. You will still have to provide your home address to Companies House, but this won’t be disclosed on the public register, unlike the director service address.

Registered office address

A registered office address is the official legal address of a company, and every UK limited company and LLP must have a registered office address from the moment it is incorporated.

Unlike a director's service address, which belongs to an individual, the registered office address belongs to the company itself. It’s the official location for receiving statutory mail, legal notices and correspondence from Companies House, HMRC and other government institutions.

However, like the director service address, the registered office must be a physical address located within the same UK jurisdiction in which the company is registered (for example England, Scotland or Wales). As of 2024, the registered office address cannot be a PO Box, meaning those who want to use one need to consider PO Box alternatives.

A business’s registered office address is publicly available information, and available to anyone searching the Companies House register, while it also appears on official company documentation. This leads many businesses without access to dedicated office space to use a registered office address service, which provides an appropriate address while protecting the business owner’s privacy.

Key differences between a director’s service address and registered office address

Let’s take a closer look at the difference between a director's service address and registered office address.

Ownership and association

The key distinction in ownership is that the director service address ‘belongs’ to the individual, while the registered office address is tied to the company as a separate legal entity.

In practice, this means the director service address could be a private residential property, while the registered office address could be a physical or virtual office.

Purpose and function

Both the registered office address and director service address are used for official correspondence from Companies House, HMRC and other government bodies.

The difference is that the registered office address is for all formal legal notices, government correspondence and statutory mail sent to the company, while the director service address is used for correspondence directed specifically at the director in their official capacity.

Appearance on public register

Both a company’s registered office address and each director service address is displayed publicly on the Companies House Register.

A company’s registered office address can be found by searching the register for the name of the company:

null

You can then find the addresses of company officers, secretaries and People with Significant Control (PSC) in the ‘People’ tab.

Privacy implications

Because both registered office addresses and director service addresses are publicly available information, there are privacy implications for both.

If your company has a dedicated office, then this can be used for the registered office address, but what if you’re a startup or small business that doesn’t need physical office space? Using your private residence is possible, but this will mean every customer, supplier and creditor will know your home address. There’s the same problem for director service addresses.

Fortunately, a registered office address service can provide an address compliant with Companies House requirements, while a product such as Hoxton Mix’s Full Privacy Service can offer an address you can use as a director service address.

Both the registered office address and service address must be genuine locations where legal correspondence can be received and acknowledged. However, there are a few additional requirements for a registered office address.

Not only does it need to be a physical address in the UK, but it must also be in the same country your company is registered in. For example, a company registered in Scotland must have a registered office address in Scotland.

The registered office address must also be ‘appropriate’, which means that:

  • You, or someone acting on behalf of the company, will be made aware of any post received.
  • It’s possible for the sender to receive confirmation of delivery.

For these reasons, it’s no longer possible to use a PO Box as your registered office address.

Considerations for UK directors

When deciding on the right address to use for your company and your director address, there are a number of considerations you need to be aware of.

Choosing the right address type: registered office address

If your company has a dedicated physical office this is the obvious choice for your registered office address, but if you haven’t invested in one—either because you don’t need one or haven’t grown large enough—a registered office address service is the ideal solution.

Not only does this protect your privacy, but it also makes business mail handling simple, particularly if you find a company that offers mail scanning and forwarding services. It can also provide your business more credibility if it’s registered in a prestigious London location, as is the case for Hoxton Mix customers.

Another alternative to your home address is to register at the offices of your accountants, something that used to be common practice for entrepreneurs and small businesses. However, although this protects your privacy, accountants are not specialists in mail handling and it’s not their main priority. As such, important correspondence could get missed.

Choosing the right address type: director service address

As is the case with the registered office address, if you have a company office you can also use this for your director service address. If not, a residential address is compliant, but it carries the same privacy risks as before.

At Hoxton Mix, in addition to our London registered office address service, we offer a Full Privacy Service that allows you to list our address on Companies House instead of your home. You can also add additional company directors if required.

Address services and mail handling in the UK

The office address and service address isn’t just for registration. Companies House and HMRC will send official correspondence regarding your company to the former, while these government bodies will send director-specific mail to the latter.

This means you’ll need to either have access to this address, or use a provider that offers mail handling to ensure you don’t miss this important post. You should also ensure they’re able to share the mail with you quickly, because statutory mail often contains strict filing deadlines or legal time constraints.

Hoxton Mix’s AI-powered mail handling service scans and sends all business mail within one business day, and makes it accessible from a dedicated online customer portal. Automated categorisation and summaries also makes it easy to identify which correspondence you need to deal with urgently.

Privacy protection for UK directors

Privacy is a big issue for directors of companies that don’t have their own offices. The registered office address and director’s address will be published to Companies House’s register, and if you use your home address, this will be discoverable to anyone who wants to find it.

A registered office address service can be used for your company’s official address, but you still need an address to register as a director. This can be your home address, but if you only protect your office address, your privacy is not protected. However, we offer a Full Privacy Service for a small additional fee, which means you can use our address for both your company and the official director’s address.

Note that you’ll still have to provide Companies House with your usual residential address, but it’s not published on the public register.
